Bistrița, November 5, 2026
In the first nine months of 2026, TeraPlast Group recorded a revenue of RON 943.3 million, up 10% compared to the same period of the previous year. For the full year 2026, TeraPlast Group forecasts a record revenue of RON 1.2 billion, 14% above the 2025 level. This performance reflects both the contribution of the Spanish operations, consolidated starting the third quarter, and the expansion of the Group’s business across other European markets.
Sales outside Romania increased by 16% in value in the first nine months of 2026 compared to the same period in 2025, from RON 298.7 million in 9M 2025 to RON 345.7 million in 9M 2026. They accounted for 37% of the consolidated revenue in the first three quarters of 2026, up 2 percentage points compared to the same period of the previous year.
The gross margin increased by 12%, from RON 319.8 million in the first nine months of 2025 to RON 356.8 million in January–September 2026. As a percentage of revenue, the gross margin increased from 37% in 9M 2025 to 38% in 9M 2026.
EBITDA stood at RON 61 million, down 15% compared to the same period of the previous year, while the EBITDA margin was 6.5%, compared to 8.4% in the first nine months of 2025.
EBITDA performance was affected by higher expenses, particularly raw material costs driven by the war in Iran, as well as cost pressures in other areas, including transportation and energy. Against a backdrop of lower sales volumes, which amounted to nearly 96,000 tonnes in 9M 2026, down 3% compared to 9M 2025, rising expenses eroded margins.
In the Installations Division, the Group’s core business, the lack of consistent and sustained funding and payments for public infrastructure projects, together with price fluctuations, affected the pace of orders and placed additional pressure on the division’s margins.
These effects were partially offset by the positive contribution of TeraPlast Iberia’s operations, consolidated starting the third quarter of 2026. Specifically, TeraPlast Iberia contributed EUR 7.7 million (over RON 40 million) to the Group’s revenue and EUR 1.4 million (RON 7.6 million) to consolidated EBITDA.
“Our results demonstrate that acquiring the factory in Spain was the right decision. In just one quarter, the Okondo plant made a positive contribution to the Group’s results and is already performing better than it did before the acquisition. By the end of the year, we expect TeraPlast Iberia to generate EBITDA of EUR 1.7 million, translating into a net profit of EUR 1.3 million after tax.
Furthermore, across our European markets, we have recorded significant revenue growth in Germany, driven by deliveries from our factories in Hungary and Spain, as well as very strong performance in Croatia, supported by sales from Romania. We are also in the process of obtaining certifications for the German market, which will enable us to further increase our revenue in this market starting early next year,” said Mr. Bogdan Crăciunaș, Chief Financial Officer of TeraPlast Group.
“I congratulate the team in Okondo and the management team in Bistrița on the results they have achieved. Buying a factory is easy; organizing an inauguration is even easier. The real challenge is proving that you can do things better than your predecessors. And when our teams across different countries deliver very strong results, their achievements deserve to be recognized and highlighted. This is how we build TeraPlast Group’s success,” said Mr. Dorel Goia, Chairman of the Board of Directors of TeraPlast.
The Packaging Division recorded positive EBITDA of RON 7.9 million in the first nine months of 2026, compared to a negative result of approximately RON 1 million in the same period of 2025, supported by a strong performance in the second quarter of this year. By contrast, the Compounds and Windows Divisions continued to be affected by subdued demand and challenging market conditions.
The Group recorded a net loss of RON 10.3 million in the first nine months of 2026, compared to a net profit of RON 6.3 million in the same period of 2025. This development was driven by lower operating profitability amid reduced sales volumes and pressure on margins, as well as the impact of foreign exchange differences.
The net result also reflects expenses related to the acquisition and integration of TeraPlast Iberia, as well as costs associated with the acceleration of works carried out by Aquatica Experience Group in Buzău.

Evolution of the divisions
Installations: 75% of the consolidated revenue
- Revenue of RON 710.2 million in January–September 2026, up 14% compared to the same period of the previous year.
- EBITDA of RON 52.1 million, down 19% compared to the first nine months of 2025; EBITDA margin of 7.3%, compared to 10.3% in 9M 2025.
In Romania, business activity followed an uneven trend throughout the year. After a start to the year strongly affected by seasonality and rising raw material prices, demand began to recover in the spring, supported by the resumption of construction works and market price adjustments. Order volumes picked up during the summer months, but towards the end of the reporting period, difficulties related to the funding and payment of public infrastructure projects became increasingly apparent. Payment delays and reduced availability of investment funding affected contractors’ liquidity, leading to a slowdown in construction works, postponed purchases and intensified price competition. In the distribution channel, customers remained cautious about building up inventories, focusing primarily on purchases linked to specific projects and confirmed orders.
In the Republic of Moldova, the water supply and sewerage infrastructure market was affected by a lack of new projects and the postponement of certain public investments. Nevertheless, TeraPlast strengthened its position in the PVC pipes segment, where its market share increased by approximately 8% compared to the previous year, and expanded its customer base for this product category.
In Spain, the third quarter marked TeraPlast Iberia’s first period of operations within the Group. Operational integration has been progressing without disruptions to customer contracts or deliveries. Priorities have focused on commercial continuity, operational integration and cost discipline. As a result, after just three months of consolidation, the Spanish plant made a positive contribution to the Group’s key financial indicators, accounting for 6% of the Installations Division’s revenue and 15% of its EBITDA.
Compounds: 7% of the consolidated revenue
- Revenue of RON 62 million, down 11% compared to the first nine months of 2025.
- EBITDA of RON 5.8 million in 9M 2026, down 29% compared to the same period of the previous year; EBITDA margin of 9.3%, compared to 11.7% in 9M 2025.
The division’s performance was affected by low order volumes from the PVC cable industry and the postponement of projects that could have supported demand. Limited market volumes intensified competition among manufacturers, putting additional pressure on selling prices.
For the final quarter of the year, the Group expects demand to remain subdued, as a recovery in activity depends on investment projects moving forward and a rebound in orders from the cable industry.
Packaging: 15% of the consolidated revenue
- Revenue of RON 140.5 million in the first nine months of 2026, up 14% compared to the same period of the previous year.
- EBITDA of RON 7.9 million, compared to a negative result of RON 1.1 million in the first nine months of 2025; EBITDA margin of 5.7% in 9M 2026, compared to -0.9% in 9M 2025.
The division operated in an environment marked by significant raw material price volatility and fluctuations in demand. Following a challenging first quarter, rising prices between March and June created favorable conditions for adjusting selling prices and improving results, with the second quarter delivering the strongest performance of the reported period.
In the third quarter, weaker demand and a correction in raw material prices led to varying performance across the plants, depending on their cost structures and ability to adjust selling prices.
Against this backdrop, the division is focusing its efforts on effective inventory management, procurement flexibility and adapting its commercial policy to market dynamics, with the aim of protecting margins and strengthening operating performance.
Windows: 3% of the consolidated revenue
- Revenue of RON 30.6 million in the first nine months of 2026, down 23% compared to the same period of 2025.
- Negative EBITDA of RON 4.7 million, compared to a positive result of RON 0.6 million in the first nine months of the previous year.
In recent months, TeraGlass has focused its efforts on fundamentally transforming its business model to target new customer segments and products with higher profit margins. These efforts have generated non-recurring expenses that explain the unfavorable result recorded this year.
Going forward, the company is focusing on improving the efficiency of its commercial operations, including through the development of a dedicated digital customer platform that will enable customers to set product specifications and request quotations online. The objective is to simplify and accelerate the sales process, thereby increasing sales volumes.
2026 Outlook
For the final quarter of the year, TeraPlast Group expects challenging market conditions to persist, characterized by pricing pressure and a seasonal slowdown in demand, particularly in activities dependent on construction and infrastructure works. Against this backdrop, performance in the final three months is not expected to offset the deterioration in profitability recorded since the beginning of the year.
Accordingly, for the full year 2026, the Group forecasts a consolidated revenue of RON 1.2 billion, 14% above the 2025 level, EBITDA of nearly RON 70 million, 19% below the previous year’s level, and a net loss of RON 25 million.
These forecasts do not include the positive adjustments arising from the completion of the purchase price allocation process for the Spanish plant, including the impact on the fair values of the net assets acquired, which will be recorded in the fourth quarter of 2026.
In the Installations Division, seasonality will influence the pace of orders in the final quarter, particularly for products intended for infrastructure projects. At the same time, expanding the product portfolio offered across European markets, supported by obtaining specific certifications, and developing sales in segments less dependent on the construction season offer opportunities to diversify demand. The Spanish operations also contribute to strengthening the Group’s presence in Western European markets.
For the Packaging Division, following the significant improvement in operating performance during the first nine months, the final quarter is expected to see more subdued market activity than in the reported period. Performance will continue to depend on raw material price movements and the pace of orders across the main markets served by the division’s companies.
In the Compounds Division, demand from the cable industry remains low, while price competition continues to affect business activity. No significant change in market conditions is expected before year-end, with order developments from the industries served by the division will remain the main driver of its performance.
In the Windows Division, measures to improve production efficiency and reorganize the business model are continuing, alongside the development of digital tools for customers, including a platform for product configuration and preparing commercial quotations. These initiatives aim to improve operational and commercial processes in an environment where demand remains under pressure.
