This figure also includes a non-recurring income of RON 8.6 million related to the sale of surplus assets at year-end.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The EBITDA margin improved by 2.5 percentage points, reaching 8% in 2025 compared to 5.5% in the previous year,&nbsp;mainly supported&nbsp;by the positive performance of the Installations division and the reduced negative contribution of the Packaging division.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">After a net loss of RON 19.5 million in 2024, the Group returned to&nbsp;profitability, recording a net profit of RON 1.2 million in 2025,&nbsp;supported by strong revenue growth and effective cost management. However, the 2025 net result&nbsp;remains&nbsp;impacted&nbsp;by higher&nbsp;foreign exchange&nbsp;differences&nbsp;recorded in the first half of the year.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>The&nbsp;consolidated&nbsp;gross margin stood at 38% in 2025<\/strong>, up from 36% in 2024, despite cost pressure and an intensely competitive environment.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Sales outside Romania increased by 59%<\/strong>,&nbsp;from RON 233.6 million in 2024 to RON 372.4 million in 2025. Their&nbsp;<strong>share in total revenue reached 34% in 2025<\/strong>, compared to 26% in 2024, confirming the Group\u2019s strategic direction of regional consolidation. Throughout 2025,&nbsp;<strong>TeraPlast&nbsp;Group focused on increasing its regional market share and, within just one year, reached second place in the installations market in Hungary.<\/strong>&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In terms of volume, in 2025&nbsp;TeraPlast&nbsp;Group sold over 123,000 tons, 12% more than in 2024 (110 thousand tons),&nbsp;mainly driven&nbsp;by growth in the Installations and Packaging divisions. The expansion of the Group\u2019s geographical footprint, driven by the factories in Hungary and the Republic of Moldova, further contributed to&nbsp;the&nbsp;results. Although market conditions deteriorated significantly in the last quarter, the strong momentum built at the beginning of 2025 supported the division\u2019s full-year performance.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Compounds: 8% of Group Revenue<\/strong>&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Revenue of RON 85.1 million in 2025, down 7% from RON 91.8 million in 2024&nbsp;<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>EBITDA remained stable at RON 9.4 million in 2025, close to the previous year\u2019s level (-1%)&nbsp;<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>EBITDA margin increased to 11% in 2025, from 10.4% in 2024&nbsp;<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The first two quarters of 2025&nbsp;benefited&nbsp;from&nbsp;stable demand from the cable industry, which accounts for over 90% of the division\u2019s revenue. In the second half of the year, the market experienced a contraction in orders from the PVC cable industry, leading to intensified competition and pricing pressure.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Packaging: 15% of Group Revenue<\/strong>&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Revenue increased by 42%, reaching RON 160.2 million in 2025, compared to RON 112.8 million in 2024&nbsp;<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Negative EBITDA was significantly reduced, from RON -13.7 million in 2024 to RON -984 thousand in 2025&nbsp;<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">This evolution reflects the impact of measures implemented throughout the year in Romania: strengthening&nbsp;the&nbsp;position with traditional clients and major retail&nbsp;chains,&nbsp;operational&nbsp;improvement, adjustments&nbsp;to&nbsp;the customer mix, and&nbsp;product portfolio restructuring.&nbsp;At the same time, demand for biodegradable and compostable products increased, and the contribution of&nbsp;Optiplast&nbsp;(Croatia)&nbsp;played a key role in the division\u2019s recovery.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Windows: 5% of Group Revenue<\/strong>&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Revenue increased by 6%, to RON 54.6 million in 2025, compared to RON 51.7 million in 2024&nbsp;<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>EBITDA amounted to RON 317 thousand in 2025, compared to RON 2.1 million in 2024, with the EBITDA margin decreasing to 0.6%&nbsp;<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Profitability was&nbsp;impacted&nbsp;by higher raw material costs, particularly glass, as well as increased personnel expenses resulting from the elimination of tax incentives for employees in the construction sector at the beginning of 2025. The full pass-through of these cost increases to retail prices could not be achieved in the short term.&nbsp;Revenue growth was supported by a stronger focus on renovation projects, amid&nbsp;a decrease in&nbsp;retail demand.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>2026&nbsp;Budget&nbsp;Budget: Continued&nbsp;growth and&nbsp;consolidation of&nbsp;profitability<\/strong>&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For 2026,&nbsp;TeraPlast&nbsp;Group has budgeted&nbsp;the&nbsp;<strong>revenue&nbsp;at&nbsp;RON 1.26 billion<\/strong>, representing a 16% increase compared to 2025. This growth will be supported by both organic expansion across divisions and further regional consolidation.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em>\u201cFor the Installations division, the 2026 budget has been built in a context where uncertainties&nbsp;regarding&nbsp;investment levels persist. As the state budget has not yet been published, we have not been able to fully assess the pace of investment programs such as PNRR, Anghel&nbsp;Saligny, or the National Development Program for the Romanian market. We rely on the operational consolidation achieved in recent years, sales growth outside Romania, and financial discipline to navigate this volatile period.<\/em>&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em>Regarding&nbsp;the Packaging division, the budgeted targets reflect both our ambition and the operational potential of the existing lines \u2013&nbsp;namely&nbsp;stretch films, as well as the factories in Croatia and Romania,&nbsp;dedicated to polyethylene and biodegradable packaging.<\/em>&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><em>We&nbsp;remain&nbsp;focused on efficiency and cost control, without neglecting growth, so that we can perform regardless of the dynamics of the economic environment,\u201d&nbsp;<\/em>stated&nbsp;Mr.&nbsp;Cr\u0103ciuna\u0219.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Consolidated EBITDA is expected to reach RON 102 million, representing an 18% increase compared to 2025, with an EBITDA margin of 8.1%.&nbsp;This outlook reflects sustained financial discipline and effective cost management in a more challenging operating environment&nbsp;compared to last year.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The net&nbsp;result&nbsp;budgeted for 2026 amounts to RON 15.4 million, supported by the stabilization of divisional performance.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In volume terms, the Group is targeting sales of over 145,000 tons, up 18% compared to 2025, driven by growth in&nbsp;the Installations, Compounds&nbsp;and, in particular,&nbsp;the Packaging divisions.
